These Terms & Conditions (“Terms”) govern access to and use of the YourCalls.ai platform and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
1) Who we are
The Service is operated by S4W L.L.C-FZ (Dubai, U.A.E.) trading as YourCalls.ai (“we”, “us”, “our”).
2) Who these Terms apply to
These Terms apply to business users. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
3) Definitions
- Account: your user account for the Service.
- Campaign: an outbound calling campaign configured by you.
- End Recipient: the person you call or attempt to call.
- Call Data: data relating to calls, which may include phone numbers, call metadata, recordings, transcripts/messages, prompts, outcomes, and analytics generated by the Service.
- Content: data you upload or provide (contact lists, scripts, prompts, knowledge bases, configurations, variables, and other materials).
- Fees: subscription fees, usage/overage charges, add-ons, and taxes.
4) The Service
We provide software that helps you configure and run voice AI calling workflows, manage assistants/campaigns, and view call results. You control how the Service is configured and used (including who is called, when, and what is said).
5) Account security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account (whether or not authorised by you). You must ensure your users comply with these Terms.
6) Your responsibilities (compliance and liability)
You are solely responsible for your use of the Service, including:
- The legality of your calls and messages and compliance with all applicable laws and regulations (including marketing, privacy, telecoms, consent/recording, and complaint-handling requirements).
- Ensuring you have the right to process and use all Content and Call Data you provide to the Service .
- Ensuring End Recipients are contacted only where you have a lawful basis and required permissions/consents.
- Honouring opt-outs, suppression lists, “do not call” requests, and time-of-day/local calling restrictions.
- The content of scripts/prompts, disclosures, and any claims made during calls.
- Responding to complaints, regulator inquiries, or disputes arising from your calls
We are a technology provider. You (not us) are the party initiating calls and are responsible for their outcomes.
7) Recording, transcription, and notices
Call recording and transcription features are enabled as part of the Service. You are responsible for ensuring that, for every call you place or receive using the Service:
- Any legally required notice is provided (including recording/transcription notices).
- Any legally required consent is obtained.
- You comply with all applicable rules on recording, transcription, storage, and use of call content
You acknowledge that recordings and transcripts may contain personal data and sensitive information depending on what End Recipients say.
8) AI limitations (no reliance)
The Service uses automated and AI-driven features. You acknowledge that:
- AI outputs and automations can be incorrect, incomplete, misleading, or inappropriate.
- You are responsible for reviewing and validating outputs before relying on them.
- The Service is not a substitute for professional advice (including legal/compliance advice).
To the maximum extent permitted by law, we are not responsible for losses arising from reliance on AI-generated outputs or automated actions configured by you.
9) Acceptable use
You must not (and must not allow others to):
- Use the Service for illegal, deceptive, abusive, harassing, defamatory, or harmful activity.
- Violate privacy, telecoms, marketing, or consumer protection rules.
- Place unsolicited calls where prohibited or without required permissions.
- Bypass safety limits, blocks, rate limits, or region restrictions.
- Reverse engineer, copy, or interfere with the Service, or attempt unauthorised access.
- Upload malware or harmful code.
We may suspend or terminate access if we reasonably believe your use poses legal, security, or reputational risk.
10) Third-party services
The Service may integrate with third parties (for example Twilio for telephony and MamoPay for payment processing, plus other infrastructure providers). Third parties may have their own terms and policies. We are not responsible for third-party systems, outages, or acts/omissions.
11) Fees, billing, and payment processing (MamoPay)
- Payment processing is handled by MamoPay. You authorise us (and/or MamoPay) to charge your chosen payment method for Fees.
- Fees may include recurring subscriptions, add-ons, and usage/overage charges based on your usage.
- If a charge fails, we may retry charges and/or restrict or suspend Service access (including pausing campaigns) until payment is made.
- Prices, plan inclusions, and limits are described in the Service UI or order page and may change under Section 20.
12) Taxes
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable taxes, duties, or similar charges.
13) Refunds
Unless required by applicable law or explicitly agreed in writing by us, Fees are non-refundable.
14) Suspension and termination
- By you: you may stop using the Service at any time; cancellation options (if available) are provided in your account settings.
- By us: we may suspend or terminate access immediately if you breach these Terms, fail to pay, or if we reasonably believe your use creates legal, security, fraud, or safety risk.
Upon termination, your right to use the Service ends. Sections intended to survive will survive (including Fees owed, IP, disclaimers, liability limits, indemnities, and governing law).
15) Your Content and permissions
You retain ownership of your Content. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Content and Call Data as necessary to provide, secure, and improve the Service and support you.You represent and warrant that you have all rights necessary to provide Content to us and to instruct us to process it.
16) Intellectual property
We own the Service (including software, interfaces, designs, and documentation) and all related intellectual property. No rights are granted except as expressly stated.
17) Confidentiality
Each party may receive the other’s confidential information. The receiving party will protect it and use it only to perform under these Terms, except where disclosure is required by law.
18) Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.We do not guarantee call outcomes, deliverability, connection rates, conversions, regulatory compliance, or that the Service will meet your requirements.
19) Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, data, or business interruption.
- Our total aggregate liability arising out of or related to the Service will not exceed the Fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
20) Indemnity
You will indemnify and hold harmless S4W L.L.C-FZ and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:
- Your calls, campaigns, scripts/prompts, Content, or instructions you configure.
- Alleged violations of law (including privacy, marketing, telecoms, and consent/recording rules).
- Complaints or regulatory actions related to End Recipients you contact.
- Your breach of these Terms.
21) Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
22) Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (e.g., in-app notice or email). Continued use after the effective date means you accept the updated Terms.
